The Munich-based holding company Munich Brand Hub AG, which specializes in investments in the fashion sector, is now called Hydrogen Fuel and EV Charge Solutions AG. The latter has just announced that the name change and non-cash capital increase resolved by the Annual General Meeting on May 12, 2021 has been completed and entered in the commercial register of the Munich District Court.
With the name change, the strategic reorientation towards an infrastructure provider for hydrogen filling stations and charging stations should be completed.
Some shareholders had filed an action for rescission and nullity with the District Court of Munich against the resolutions of the Annual General Meeting, which was ended by a settlement on November 3, 2021. In return for the contribution of all shares, the shareholders of EV Charge Holding Ltd., London, received a total of 4.5 million new shares in Hydrogen Fuel and EV Charge Solutions AG. The name change and capital increase were entered in the commercial register of the Munich district court on February 1, 2022. The company’s share capital now amounts to EUR 5,000,000 and is divided into 5,000,000 no-par value bearer shares.
Munich Brand Hub AG was a subsidiary of Prime Capital Debt SCS SICAV-FIS and held a majority stake in Laurèl GmbH until the end of 2020.
