Receipt of notification from Pangea GmbH regarding the intended conclusion of a domination and profit and loss transfer agreement

Asslar, November 6, 2022. Pfeiffer Vacuum Technology AG (“Pfeiffer Vacuum”) today received a letter from its major shareholder, Pangea GmbH, based in Maulburg, in which it states that a domination and profit and loss transfer agreement (Section 291 (1) AktG) with Pfeiffer is essential Vacuum as the controlled company and Pangea GmbH as the controlling company with the right to transfer profits and therefore wanting to enter into negotiations on this at short notice. According to Pangea GmbH, the reason for this is that it wants to simplify the coordination between the two groups of companies and in particular the decision-making processes for this, as this would better correspond to the understanding of the Busch Group as a family company. According to its information, Pangea GmbH, which belongs to the Busch Group, currently holds around 63.66% of the shares in Pfeiffer Vacuum, which means that Pangea GmbH alone has consistently held a majority of over 75% at the respective annual general meetings of Pfeiffer Vacuum in recent years validly cast votes.
