Your Family Entertainment Aktiengesellschaft resolves to increase capital with subscription rights and also plans to issue a convertible bond
Munich, March 23, 2022.
The Management Board of Your Family Entertainment Aktiengesellschaft, Munich, (WKN A161N1; ISIN DE000A161N14 and WKN A3M QDJ; ISIN DE000A3MQDJ8) today, with the approval of the Supervisory Board, increased the company’s share capital by up to EUR 13,031,530.00 against a cash contribution 2,004,850.00 to up to EUR 15,036,380.00 through the issue of up to 2,004,850 new no-par value registered shares with partial utilization of the existing Authorized Capital 2021. The shareholders will be granted subscription rights during a subscription period that will last at least two weeks. The subscription price per new share is EUR 3.00. In the event of full placement, the company will generate gross proceeds from the issue of EUR 6,014,550.00. New shares not subscribed to by the shareholders within the subscription period are to be offered to selected investors for purchase as part of a private placement. The subscription offer is to take the form of a public offer in the Federal Republic of Germany without a prospectus pursuant to Section 3 No. 1 WpPG in conjunction with Article 3 Paragraph 2 Sentence 1 b) Regulation (EU) 2017/1129 of the European Parliament and Council of June 14, 2017 be carried out in Germany.
The subscription offer is expected to be published in the course of the coming week (week 13).
Furthermore, the Management Board of Your Family Entertainment Aktiengesellschaft also plans to issue a convertible bond in the short term based on the authorization resolution of the Annual General Meeting on June 29, 2021 with a total nominal value of up to approx. EUR 8 million. The shareholders should also have the subscription right during a subscription period, which will last at least two weeks. The Executive Board is currently planning to offer the shareholders the partial debentures for purchase at an issue price of EUR 5.00 per partial debenture. The convertible bond is expected to have a term of five years and an interest rate of 3.5% pa. Partial debentures not subscribed to by the shareholders within the subscription period are also to be offered for purchase to selected investors as part of a private placement. The subscription offer is to take the form of a public offer in the Federal Republic of Germany without a prospectus pursuant to Section 3 No. 1 WpPG in conjunction with Article 3 Paragraph 2 Sentence 1 b) Regulation (EU) 2017/1129 of the European Parliament and Council of June 14, 2017 be carried out in Germany.
The Management Board will now determine the further details of the issue of the convertible bond in a timely manner. The approval of the supervisory board is also still pending. Subject to this, the Management Board assumes that this subscription offer will also be published in the course of the coming week (week 13).
The total issue proceeds from both capital measures are to be used for the expansion of the international channel business, for the relaunch of well-known figures from the YFE universe, for the further development of the growth market “streaming/video-on-demand” and for possible, targeted M&A measures will.
