Construction contractor Karel Vrolijk is angry: ‘Blocking the takeover of NAC is not possible’

Karel Vrolijk does not accept that the Supervisory Board (SB) of NAC is blocking the acquisition of the shares. The building contractor has exclusivity to buy the club, but the Supervisory Board nevertheless does not give permission. “Outrageous,” says Vrolijk. “And that is not possible at all. I will also see what I can do about it. If necessary, also legally.”

And so there is a lot of hassle at NAC again. The reason is a message that the Supervisory Board sent on Saturday afternoon. In it she states that she does not formally approve the sale of the shares by the current owners to building contractor Vrolijk.

“There are two other serious alternatives that we think should be looked at,” says Geert van Poppel of the Supervisory Board. “Our role is to ensure a good process. The current owners have to go back to the drawing board.”

It is remarkable that the Supervisory Board is taking this step. Karel Vrolijk already has an exclusive agreement with the current owners. Moreover, according to insiders, the Supervisory Board cannot take this action at all, according to the articles of association.

Supervisory Board has no blocking right
This is because the Supervisory Board does not have a blocking right on the sale of subsidiary NAC Breda BV, the shares of which are being sold. They do have this right in the Holding Company, say the parent company. But it is not for sale.

Article 10 of the articles of association of NAC BV explicitly states that only the NOAD foundation can block NOAD, which consists of four delegates from NAC. Namely the Club Council, the NAC Museum, the youth department and the former NAC. “We will continue with the sale procedure,” says Sjoerd van Fessem of the NOAD foundation when asked. “We’re still thinking about it.”

Very disappointed
“The Supervisory Board is not aware of the agreements at all,” says Karel Vrolijk, who still wants to buy NAC. “I’m really disappointed, because this is not nice. We put so much energy into it and then you get this. It’s outrageous, especially because I had to hear it from the press.”

“This is not good for NAC,” the building contractor continues. “I will also see what I can do about it. If necessary, also legally.”

big mistake
At the bottom of the line, there seems to be a failure on the part of NAC’s Supervisory Board. Last year, the attitude of the Supervisory Board was also dubious, regarding the dismissal of trainer Maurice Steijn. “It is sad that the most invisible and inept supervisory board of the last decades has now let the club collapse for the second time in seven months”, an initiate summarizes the soap at NAC.

The actions of the Supervisory Board may have consequences. For example, the current major shareholders could show the supervisory directors the door.
