BASEL (dpa-AFX) – It became apparent in the summer: the generics specialist Sandoz is taking over the company Just-Evotec (EVOTEC SE) Biologics (JEB). After a non-binding declaration of intent was signed at the end of July, Sandoz is now buying 100 percent of JEB shares.
With this acquisition, Sandoz can expand its internal development and manufacturing capacities in the area of ​​biosimilars, as the announcement on Tuesday evening continued. As part of the transaction agreed with the German company Evotec (EVOTEC SE), Sandoz will also take over JEB’s production facility in Toulouse, France.
According to the information, Sandoz will pay a cash amount of around $350 million for the JEB shares and the license fees for JEB’s production technology. The license covers an unlimited number of molecules, although a license fee is currently charged for up to ten molecules.
Purchase of the previous partner
JEB has been a strategic partner of Sandoz since 2023, with the Basel-based company also securing access to production in Toulouse in mid-2024. Under the redesigned model, incentive components and royalties are expected to amount to around $300 million in the coming years, the statement added.
The transaction will strengthen Sandoz’s biosimilars division and the company will participate in the global market for biosimilars with its own capacities, it said. According to the information, the market opportunities for this are estimated at around $300 billion over the next ten years.
At the same time, the acquisition is in line with Sandoz’s existing investment commitments and has no impact on the full-year forecast. Sandoz expects an Ebitda margin in the range of 21 to 22 percent in 2025, while sales are expected to increase in the mid-single-digit percentage range.
