Infrastructure contractor of Rotenberg and VEB received the first assets

Rotenberg family bought “TEK Mosenergo” in 2010 from the structures of “Gazprom”, until recently the company was owned by Igor Rotenberg, the son of Arkady Rotenberg. In March 2021 he released from the shareholders, and the company “NPO Center” became the main owner. According to the Unified State Register of Legal Entities, at the end of July, almost 29% of the contractor was transferred to the Natsproektstroy group. By the end of the year, its share increased to 100%, says a representative of the group.

TEK Mosenergo is engaged in the construction of energy, industrial and transport infrastructure. Among the current projects of the company are Chernogorskaya CHPP, Artemovskaya CHPP-2, Nizhnekamsk TPP, the work on which is currently at the design stage. The company participated in the construction of the Central Ring Road in Moscow, the Western High-Speed ​​Diameter in St. Petersburg, the Moscow-St. Petersburg highway, bridges and overpasses as part of the Khabarovsk bypass, the reconstruction of the Sayano-Shushenskaya HPP, the construction of the Sukhodol port in the Far East and other facilities.

SZKK was established in 2007 for the construction and operation of the first section (from 15th to 58th km) of the M-11 Moscow-St. Petersburg highway, in 2011 50% of the company bought “Mostotrest” Arkady Rotenberg. Roads and Bridges, which specializes in infrastructure construction, was spun off from Mostotrest in October 2020. She received such assets as Transstroymekhanizatsiya, Taganka Most, Mostotrest-Service, 25% of Mostostroy-11. According to a representative of Natsproektstroy, 96.97% in Roads and Bridges belongs to the group, the rest of the shares belong to minority shareholders.

Mostotrest itself remained under the control of Arkady Rotenberg, who intends to develop it independently. The businessman said that Natsproektstroy would receive competencies, including equipment and specialists, as well as part of contracts and production capacities of Mostotrest. He emphasized that he would not participate in the management of the joint venture with VEB, remaining only its shareholder.

The 1520 group, the main construction contractor of Russian Railways, should also become part of Natsproektstroy. Aganbegyan explained to RBC that its assets would be the last to enter the holding, since it is necessary to assess legal risks due to criminal cases that have been initiated against the current and former owners of the group. In the fall of 2018, the former co-owner of 1520, Valery Markelov, was arrested, he was suspected of transferring bribes to ex-colonel of the Ministry of Internal Affairs Dmitry Zakharchenko. “Despite these circumstances, we must move as quickly as possible, as quickly as possible, and form such a company in 2020–2021,” added the head of Natsproektstroy. Now the representative of the holding says that “there are no changes in the initial plans for the development of the company”, but does not name the terms when the group’s assets can become part of it. 1520 declined to comment.

Who became a partner of Rotenberg and VEB in a joint venture

RBC sources said that VEB and the structures of Arkady Rotenberg would receive 43% each in Natsproektstroy, another 14% would belong to the third shareholder, a profile investor. In May 2020, Aganbegyan said that there were “two or three applicants” for participation in Natsproektstroy.

Now VEB and NPS EZK own 48% of Natsproektstroy, a representative of the group told RBC. NPS EZK was established in June 2020, then 1% belonged to Transstroymekhanizatsiya, and 99% belonged to Natsproektstroy itself. In November 2020, 100% of the company was transferred to the closed-end mutual fund Project-Infra, and in July 2021 the fund reduced its share in NPS EZK to 95%. 3.97% of the company was transferred to NPO Center, 0.82% to ZPIF Avabi and 0.25% to Dmitry Ryabov, CEO of TEK Mosenergo.

ZPIF “Project-Infra” formed in October 2020, it is managed by PFS Management Company, which belongs deputy chairman board Rusregionbank Oleg Sadovnikov. The representative of Rotenberg refused to explain what share in Natsproektstroy indirectly (through NPS EZK) belongs to the businessman.

The third shareholder of Natsproektstroy with a 4% share is the Girasol company, says a representative of the group. This company, according to the Unified State Register of Legal Entities, belongs to Alexei Krapivin, the largest shareholder and CEO of the 1520 group. Alexey Krapivin is the son of Andrey Krapivin, adviser to the former head of the Russian Railways, Vladimir Yakunin, who died in 2015. Earlier about the share of Krapivin in the capital of “Natsproektstroy” informed Telegram channel “Insidious track”, but the group did not officially confirm this information.

The representative of Natsproektstroy specified that the shareholder structure was formed in 2020. Under what conditions Krapivin became a shareholder of the group, he did not explain. Representatives of VEB, Rotenberg and 1520 also did not comment on this.
