EQS-Adhoc: Compleo Charging Solutions AG: Conclusion of a company purchase agreement for significant assets of Compleo Charging Solutions AG

Dortmund, April 29, 2023 The insolvent Compleo Charging Solutions Ltd (Compleo or the company) has today with the KOSTAL Group concluded a company purchase agreement for its main assets. As part of the transaction, the assets of the insolvent subsidiaries Compleo Charging Technologies GmbH and Compleo Connect GmbH were also sold to the investor.

The company will soon submit an insolvency plan to the responsible district court in Dortmund. After the trustee and the creditors’ committee have approved the transaction and it has become legally binding, the insolvency plan is intended, among other things, to form the legal basis for corporate restructuring within the Compleo Group, which is to be implemented before the company acquisition is completed. The closing of the transaction is subject to regulatory approvals and the fulfillment of the contractual closing conditions. Compleo and the investor currently expect the transaction to close in June 2023.

The agreement with the investor ensures the continuation of the Compleo Group’s business, which will continue to exist in the KOSTAL Group as an independent company and brand after the transaction has been completed. No operational business will then remain in the companies of the Compleo Group. The proceeds from the transaction will be used to satisfy creditors as part of the insolvency proceedings. The parties currently assume that Compleo’s creditors will receive a significant quota on their claims if the transaction is successfully completed, the amount of which has not yet been determined.
