Branicks Group AG: Initiation of the process to conclude a control and profit transfer agreement between DIC Real Estate Investments GmbH & Co. KGaA and VIB Vermögens AG

Frankfurt, October 30, 2025 – DIC Real Estate Investments GmbH & Co. Kommanditgesellschaft auf Aktien (“DIC REI KGaA”), a 100% subsidiary of Branicks Group AG (“Branicks”), ISIN: DE000A1X3XX4, and VIB Vermögens AG (“VIB”) agreed today to enter into discussions regarding the conclusion of a control and profit transfer agreement in accordance with § 291 AktG between DIC REI KGaA as the dominant company and VIB as the controlled company and to take the necessary preparatory measures.

In the control and profit transfer agreement, the outside shareholders of VIB are to be granted an annual compensation payment by DIC REI KGaA for the duration of the agreement. In addition, the contract is intended to provide for an offer to acquire the shares of VIB’s outside shareholders in return for compensation in the form of newly issued Branicks shares. Conditional capital for the Branicks is to be created to provide this. Outside shareholders currently hold around 31.25% of VIB. The final structure of the annual compensation payment and the severance payment regulation in the contract will be determined by DIC REI KGaA and VIB in accordance with the legal requirements.

Branicks assumes that in February 2026, extraordinary general meetings of VIB will be asked for the necessary approval and Branicks will be asked to pass the necessary resolution.
